PLEASE READ THIS SUBSCRIPTION RIGHTS AGREEMENT (“AGREEMENT”) AND THE ACCOMPANYING DOCUMENTATIONS CAREFULLY BEFORE USING CX360 GO. THIS AGREEMENT IS A BINDING AGREEMENT BETWEEN YOU/YOUR ORGANIZATION (“YOU”) AND CORE SOLUTIONS, LLC. (“CORE”). BY ACCESSING AND USING CX 360 GO, YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT ACCESS THE APP AND DO NOT CLICK “I AGREE” WHEN PROMPTED IN THE APP.
Core's Cx360 GO (the “App”) is an ambient documentation solution designed for providers of mental health, substance use disorder (SUD), and intellectual and developmental disabilities (IDD) services. The App is designed to automatically capture and transcribe case notes in real time, enabling clinicians to prioritize care over manual documentation. This Agreement entitles you to access and use the App according to the terms below.
By clicking "I Agree," you acknowledge that you have read, understood, and agree to the terms and conditions of this ("Agreement") and Core’s Privacy Policy at (https://www.coresolutionsinc.com/privacy-policy-agreement). This Agreement is effective on the date you click “I Agree” and continues until terminated by either party according to the terms of this Agreement.
Core grants you a non-exclusive, non-transferable, revocable right to use the App solely for your own professional purposes related to the collection, management, and processing of your own clients’ information and your provision of clinical services, as authorized by this Agreement. You may not use the App for any other purpose, including without limitation, sharing access to the App or output from the App with any other person or entity for reasons other than treatment of your own clients.
You agree to use the App in compliance with all applicable laws and regulations, including but not limited to:
The App collects and processes client information, including but not limited to medical records, treatment history, and other health-related data ("Client Information").

We implement industry-standard security measures to protect Client Information. Despite these measures, absolute security cannot be guaranteed. You are responsible for using the App in a manner that protects client confidentiality and data integrity.
Warranties: Core warrants that Cx360 will materially comply with its documentation. EXCEPT FOR THE WARRANTY IN THE PRECEDING SENTENCE, CORE AND ITS SUPPLIERS AND LICENSORS HEREBY EXPRESSLY DISCLAIM ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, QUALITY, ACCURACY, TITLE, AND NON-INFRINGEMENT. Core does not represent or warrant that the Solution will be error free, secure or operate uninterrupted.
User Responsibilities: As a clinician, you are responsible for:
Core reserves the right to terminate this Agreement and your access to the App at any time if you breach any term of this Agreement or if required by law. You may terminate this Agreement at any time upon sixty (60) days prior written notice to Core.
To the fullest extent permitted by law, Core is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the App, including but not limited to any loss of data, interruption of service, or issues related to AI model performance. Core’s maximum liability resulting from any cause under this Agreement is limited to direct damages not to exceed the lesser of the aggregate sum of (i) the most recent three (3) monthly fees paid to Core for the App, or (ii) $10,000.
You agree to indemnify, defend, and hold harmless Core from any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of your use of the App, including any violations of this Agreement or applicable laws.
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in Philadelphia, Pennsylvania. Each party shall bear their own costs of arbitration.
Core may update this Agreement from time to time. We will notify you of any material changes. Your continued use of the App following such changes constitutes acceptance of the revised terms. You acknowledge that online terms and conditions specified in various sections of this Agreement are subject to change and that you are responsible for periodically reviewing those online terms and conditions and for complying with such changes.

Core Solutions, Inc.You may not assign this Agreement to any third person or entity. Either party’s performance hereunder shall be excused if such nonperformance is the direct or indirect result of a force majeure event, including without limitation, war, riot, insurrection, act of God, strikes, labor shortage, pandemic, government regulation, materials shortage, or fire.
This Agreement constitutes the entire agreement and understanding of the parties relating to the subject matter herein and merges all prior discussions between them. The waiver or failure of either party to exercise in any respect any right provided under this Agreement shall not be deemed a waiver of such right in the future or a waiver of any other rights established under this Agreement.
